1. Who we are

SayWhen is a social planning app that helps friend groups keep shared lists and turn ideas into real dates in the diary. In these terms, “SayWhen”, “we”, “us”, and “our” mean SayWhen Tech Ltd, a company registered in England and Wales (company number 17293699), with its registered office at 66 Paul Street, London, EC2A 4NA, United Kingdom. 2. Eligibility

You must be at least 16 years old to use the Services. By using the Services, you confirm that you are old enough and that you are able to enter into a binding agreement. If you use the Services on behalf of a group, you confirm you are authorised to do so.

3. Your account

You may need an account to use some features. You agree to provide accurate information, keep your login details secure, and be responsible for activity under your account. Tell us promptly at info@joinsaywhen.com if you believe your account has been used without your permission.

4. Using the Services

We grant you a personal, limited, non-exclusive, non-transferable, revocable licence to use the Services for their intended purpose, in line with these terms. We may add, change, or remove features as the Services develop.

Before the app launches, you can join our launch waitlist on the website. Joining the waitlist is free and only requires a valid email address that you are entitled to use. It does not create an account, does not guarantee access to the app or any particular launch date, and we may modify or close the waitlist at any time. We use your waitlist email address as described in our privacy policy, and you can leave the waitlist at any time using the unsubscribe option in any waitlist email or by contacting us at info@joinsaywhen.com.

You keep ownership of the content you create in the Services, such as lists, activities, and responses (“Your Content”). You grant SayWhen a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, and display Your Content solely to operate, provide, and improve the Services, including sharing it with the group members you choose. This licence ends when Your Content is deleted, except for copies retained as required by law or in routine backups for a limited period.

You are responsible for Your Content and confirm you have the rights needed to share it. We may remove content that breaches these terms.

7. Shared groups and plans

SayWhen is designed for shared use. When you add content to a group or plan, or respond to a suggested date, other members of that group can see it. Please be considerate about what you share and who you invite. You are responsible for the invitations you send and the groups you create.

8. Availability features

Where you choose to connect a calendar, SayWhen uses availability signals to suggest and rank possible dates, as described in our privacy policy. If you enable calendar writing, SayWhen may create, update and remove only calendar events created by SayWhen for your locked-in plans. Suggestions are estimates to help your group decide; they are not guarantees, and the final decision always stays with you and your group.

9. Intellectual property

The SayWhen name, logo, branding, software, website design, copy, images, and other materials are owned by SayWhen or used with permission, and are protected by intellectual property laws. Except for Your Content and the limited licence to use the Services, nothing in these terms transfers any rights to you. You may not copy, modify, distribute, sell, or reuse our materials without our written permission.

10. Third-party services

The Services may link to or rely on third-party platforms, including Apple, Google, Supabase, Resend, Instagram, and TikTok. Those services have their own terms and privacy practices, and we are not responsible for them. Your use of a third-party service is governed by that provider’s terms.

If you download the SayWhen app from a third-party app store, you also agree to that store’s terms. The following applies where you obtain the app from the Apple App Store:

12. Disclaimers

The Services are provided “as is” and “as available”. To the fullest extent permitted by law, we do not make warranties that the Services will be uninterrupted, error-free, or that suggestions and information will be accurate or suitable for a particular purpose. Product descriptions, screenshots, and examples may change as the Services develop. Nothing in these terms excludes or limits rights that cannot legally be excluded, including your statutory consumer rights.

13. Limitation of liability

To the fullest extent permitted by law, SayWhen will not be liable for any indirect, incidental, special, or consequential losses, or for loss of profits, data, or goodwill, arising from your use of the Services. Nothing in these terms limits our liability for death or personal injury caused by our negligence, for fraud, or for any liability that cannot be limited by law.

14. Your responsibility for misuse

If a third party brings a claim against us because of the way you have used the Services, you agree to reimburse us for the reasonable and direct losses and costs we actually incur as a result. This applies only where the claim arises from your own deliberate or careless acts, such as breaking these terms, misusing the Services, or uploading content that infringes someone else’s rights or breaks the law. It does not apply to the extent the loss was caused by us, it does not require you to cover anything beyond losses that are reasonably and directly caused by you, and it does not affect your statutory rights as a consumer. Nothing in this section applies where the law does not allow it.

15. Suspension and termination

You can stop using the Services and delete your account at any time. We may suspend or end your access if you breach these terms, if needed to protect the Services or other users, or if we stop offering the Services. Sections that by their nature should survive, such as intellectual property, disclaimers, and limitation of liability, continue to apply after termination.

16. Changes

We may update these terms as the Services develop or as legal requirements change. When we make material changes, we will update the date below and, where appropriate, provide additional notice. Your continued use of the Services after an update means you accept the revised terms.

17. Governing law

These terms are governed by the laws of England and Wales, and disputes are subject to the courts of England and Wales, unless mandatory consumer protection rules in your country of residence require otherwise.
